Agreement to terms
These Terms of Service (the “Terms”) govern your access to and use of the Termii messaging and communications platform, our websites, APIs, and related services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Your account
You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorized use or suspected security incident.
Acceptable use
You agree not to use the Services to:
- Send unlawful, fraudulent, deceptive, or unsolicited messages, including spam.
- Transmit malicious code, or attempt to disrupt, overload, or gain unauthorized access to the Services.
- Infringe the rights of others, or violate any applicable law or the terms of any network we connect to.
Messaging & compliance obligations
You are responsible for ensuring that every message you send complies with applicable laws, regulations, and carrier requirements, including obtaining any required consent from recipients and honoring opt-out requests. You must not send content that is prohibited by carriers or regulators in the regions you target.
We may suspend or throttle traffic that appears to violate these requirements in order to protect the integrity of the platform and its network partners.
Fees & billing
You agree to pay all applicable fees for your use of the Services in accordance with the pricing and payment terms presented to you. Fees are exclusive of taxes unless stated otherwise, and prepaid balances are consumed as you use the Services. Except where required by law, fees are non-refundable.
Service availability
We work to keep the Services available and reliable, but we do not guarantee that they will be uninterrupted or error-free. We may modify, suspend, or discontinue parts of the Services, and we may perform maintenance that temporarily affects availability.
Intellectual property
The Services, including all associated software, documentation, and branding, are owned by Termii and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain ownership of the content you submit through the Services.
Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the platform, its users, or its network partners. Upon termination, your right to use the Services will cease, though certain provisions will survive by their nature.
Disclaimers & limitation of liability
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, Termii will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or goodwill arising from your use of the Services.
Governing law
These Terms are governed by the laws of the jurisdiction in which Termii operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be resolved in accordance with those laws.
Changes to terms
We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
